1. Scope
These terms describe the general framework of the TeepTrak Partner Program (Business Introducer, Channel Partner and Technology Partner tracks). Each approved partner also signs an individual partner agreement. If these terms and the signed partner agreement differ, the signed partner agreement prevails.
2. Application and approval
Submitting an application does not make you a partner. TeepTrak reviews each application and may accept or decline it at its discretion. Partnership starts only when both parties have signed the partner agreement.
3. Independent parties
Partners act as independent businesses. Nothing in the program creates an employment relationship, joint venture, agency or franchise. Partners may not make commitments on TeepTrak’s behalf unless the partner agreement expressly allows it.
4. Deal registration
Partners may register opportunities in the Partner Space. A registered opportunity is protected for the period stated in the Partner Space and the partner agreement, provided the information is accurate and the opportunity was not already known to TeepTrak. TeepTrak decides on disputed or duplicate registrations.
5. Commissions and discounts
Commissions, discounts and payment conditions are set out in the partner agreement and the Partner Space. Amounts shown on the public website are indicative. No commission is due on deals that are not closed and paid by the customer, or that were obtained in breach of these terms.
6. Conduct and compliance
Partners must act honestly and lawfully, including anti-corruption, competition, export-control and data-protection laws. False registrations, misleading statements to customers, or attempts to manipulate the program lead to loss of commissions and termination.
7. Brand and materials
TeepTrak grants partners a limited, non-exclusive, revocable right to use its name, logos and sales materials only to promote TeepTrak products during the partnership, following TeepTrak’s brand guidelines. Materials marked internal or confidential must not be shared outside the partner’s organisation.
8. Confidentiality
Pricing, roadmaps, customer information and other non-public information received through the program are confidential and may be used only for the partnership.
9. Certification and training
Some program benefits depend on completing the Partner Academy and certification. TeepTrak may update training and certification requirements.
10. Termination
Either party may end the partnership as set out in the partner agreement. On termination, partners stop using TeepTrak’s brand and materials, and access to the Partner Space ends. Commissions already earned are handled as stated in the partner agreement.
11. Changes, law and language
TeepTrak may update these terms and will publish the new version with its “Last updated” date. These terms are governed by French law; the courts of Paris have jurisdiction, unless the partner agreement states otherwise. These terms exist in French and English. In case of discrepancy, the French version prevails.
